1. Agreement

By accessing our website (www.ukcompany.org) or using our services, you agree to these Terms of Service. If you use our services on behalf of an organisation, you agree to these terms for that organisation. These terms incorporate our Privacy Policy and Cookie Policy by reference.

We may update these terms from time to time. Updated terms take effect when posted, and your continued use of the services constitutes acceptance of them.

2. Service Description

Eagle Business provides UK business services, namely:

  • UK company registration and registered office address services
  • Online software to prepare and submit Corporation Tax returns (CT600), tax computations and iXBRL accounts to HM Revenue & Customs (HMRC)
  • Making Tax Digital (MTD) VAT returns to HMRC
  • Company data lookups from Companies House to assist with preparation

3. Eligibility & Your Account

To use the services you must:

  • Be at least 18 years old and able to enter into a binding contract
  • Be authorised to act on behalf of the company you are filing or registering for
  • Hold valid HMRC Government Gateway credentials for the submissions you make
  • Ensure the company falls within the scope of the services you use

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly at cs@ukcompany.org if you suspect any unauthorised access. You may not share, sell or transfer your account to any other person.

4. Identity Verification (Anti-Money-Laundering)

Eagle Business is supervised for anti-money-laundering purposes (AML Registration No. XWML00000211007). Before or during the provision of certain services we are required by law to verify the identity of our customers and, where relevant, the beneficial owners and controllers of the companies we act for.

You agree to provide the identification and verification information we reasonably request, and you confirm it is accurate. We may refuse, suspend or terminate a service, and may be legally required to make a report to the relevant authorities, where we cannot complete verification or where we have concerns about money laundering, fraud or other unlawful activity. We may be prohibited by law from telling you when such a report has been made.

5. Your Responsibilities

You are responsible for:

  • The accuracy and completeness of all information you provide
  • Keeping your login and HMRC credentials confidential
  • Reviewing every document before it is submitted to HMRC or Companies House
  • Meeting all statutory filing deadlines

6. Acceptable Use

You agree not to:

  • Use the services for any unlawful purpose or fraudulent activity
  • Submit false or misleading information
  • Attempt to access other users' accounts or data
  • Reverse engineer or attempt to extract the source code of our software
  • Use automated systems to extract data from the services

7. Fees & Payment

Service fees are shown on our website. All prices are in British Pounds (GBP) unless otherwise stated. Software is sold on an annual subscription basis, tiered by the number of companies you may file for; you may upgrade to a higher tier at any time.

Renewal: unless you cancel before the end of the current term, subscriptions renew automatically for a further term at the then-current price, and we will charge your payment method. We will give you reasonable notice before a renewal charge. You can cancel renewal at any time from your account or by contacting cs@ukcompany.org.

8. Cancellation & Refunds

Consumer right to cancel. If you are a consumer in the UK, you normally have the right to cancel a contract for digital services within 14 days under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

Because our software gives you immediate access on payment, by purchasing and starting to use the service within the 14-day period you expressly request that we begin supply immediately and acknowledge that you lose the right to cancel once the service has been fully performed. Where supply has only partly been performed, you may still cancel and we will charge for what has been provided up to that point.

Cancellation of a subscription: if you cancel, the subscription remains active until the end of the paid term and is not renewed. We recommend exporting any documents you need before the term ends.

Refunds: outside the statutory cancellation right above, subscription fees are non-refundable except where required by law or granted at our discretion. For one-off formation and address services, fees already paid are non-refundable once the service has begun, unless we fail to provide the agreed service. 9. Intellectual Property

All rights in our website, software, branding and content belong to Eagle Business or our licensors. We grant you a limited, non-exclusive, non-transferable licence to use the services for your own business or personal compliance purposes for as long as your subscription is active. You may not copy, modify, distribute, resell or create derivative works from the services except as permitted by law.

You retain ownership of the data and documents you input. You grant us the licence needed to host, process and transmit that data to provide the services (for example, to submit filings to HMRC and Companies House) as described in our Privacy Policy.

10. Suspension & Termination

We may suspend or terminate your access to the services, with or without notice, if you breach these terms, if we are required to do so by law, if we reasonably suspect unlawful or fraudulent activity, or if you fail to pay fees when due.

You may stop using the services and close your account at any time. On termination, your right to use the services ends, but provisions that by their nature should survive (including fees owed, intellectual property, liability, indemnity and governing law) continue to apply. We will handle any remaining data in accordance with our retention obligations described in the Privacy Policy.

11. Liability & Disclaimers

Eagle Business provides software tools and agency services to assist with tax and company compliance. We are not accountants, tax advisers or legal professionals, and the services do not constitute professional advice.

The services are provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law. To the maximum extent permitted by applicable law, Eagle Business shall not be liable for:

  • Errors, inaccuracies or omissions in calculations, computations or generated documents
  • Penalties, fines, interest or other charges imposed by HMRC, Companies House or any other authority
  • Late filings, rejected submissions or missed deadlines for any reason
  • Any indirect, incidental, special, consequential or punitive damages
  • Loss of profits, revenue, data, business opportunities or goodwill
  • Service interruptions, downtime or unavailability
  • Actions or failures of third parties including HMRC and Companies House

Liability cap: our total aggregate liability for all claims arising out of or relating to these terms or your use of the services shall not exceed the total fees you paid to Eagle Business in the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing excluded that cannot be: nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under English law. If you are a consumer, your statutory rights are not affected by these terms.

No guarantee of acceptance: we do not guarantee that any submission will be accepted by HMRC, Companies House or any other authority. Rejection may occur due to data validation errors, authority system issues or other factors. You are responsible for monitoring submission status and resubmitting if necessary.

Indemnification: if you use the services for business purposes, you agree to indemnify and hold harmless Eagle Business, its officers, directors and employees from any claims arising from your use of the services, your violation of these terms, your violation of the rights of another party, or any inaccurate or incomplete information you provide.

12. Complaints & Disputes

If you are unhappy with any aspect of our services, please contact us first at cs@ukcompany.org so we can try to put things right. We aim to acknowledge complaints within five working days and to resolve them promptly.

If we cannot resolve your complaint, consumers in the UK may be able to use an alternative dispute resolution (ADR) scheme. Complaints about how we handle your personal data can also be raised with the Information Commissioner's Office (see our Privacy Policy).

13. General Terms

  • Force majeure: we are not liable for failure or delay caused by events beyond our reasonable control, including outages or changes at HMRC, Companies House, payment providers or hosting providers.
  • Severability: if any provision is found unenforceable, the remaining provisions continue in full force.
  • Entire agreement: these terms, together with the Privacy and Cookie Policies, form the entire agreement between you and us regarding the services.
  • Assignment: you may not transfer your rights under these terms without our consent. We may transfer ours to a successor of our business on notice to you.
  • Third-party rights: no one other than you and Eagle Business has any rights under these terms under the Contracts (Rights of Third Parties) Act 1999.
  • Notices: we will contact you by email or through the website; you can contact us at cs@ukcompany.org.
  • Waiver: if we do not enforce a right, that is not a waiver of it.

14. Governing Law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer resident elsewhere in the UK, you may also bring proceedings in your local courts.
